Terms and Conditions of Service

Contractual terms defining service scope, responsibilities, and limitations.

1. Definitions

Service means TOP Tender Operating Platform, the software platform provided by DFS AI Global d.o.o. for public tender monitoring, tender relevance analysis, document extraction, datastore management, reminders, and AI-assisted tender workflows.

Provider means DFS AI Global d.o.o., OIB: 08392520258, Petrova ulica 133, 10000 Zagreb, Croatia.

Customer means the legal entity entering into a subscription or service agreement.

Output means any relevance result, notification, extracted requirement, checklist, draft, recommendation, reminder, or other result generated by the Service.

2. Nature of the Service

  1. The Service is an analytical and operational tool for tender monitoring, document review, and preparation support.
  2. The Service does not provide legal advice, procurement advice, accounting advice, certification, or a guarantee that a tender application will be complete, compliant, accepted, or successful.
  3. All Outputs are indicative technical findings intended to assist human review.

3. Mandatory Human Review

  1. The Customer shall ensure that all Outputs are reviewed and assessed by qualified personnel before any business, legal, financial, procurement, or operational decision.
  2. The Customer agrees not to rely on the Service as the sole basis for submitting a tender, making a qualification decision, or giving a legally binding statement.
  3. The Service is not designed for autonomous decision-making.

4. Data Submitted by Customer

  1. The Customer is responsible for the legality, accuracy, and lawfulness of documents uploaded to the Service.
  2. The Customer shall not upload special categories of personal data unless strictly necessary and legally permitted.
  3. The Customer remains the controller of customer-controlled uploaded documentation and business data.

5. Artificial Intelligence Components

  1. The Service may use AI-assisted processing to extract information, summarize documents, compare requirements, suggest matches, and support tender workflows.
  2. Customer content is not sold, used for advertising, or used to train AI models.
  3. Outputs may contain inaccuracies, omissions, or incomplete findings inherent to probabilistic systems.

6. AI Assistant Connectors (TOP Connect)

  1. TOP Connect allows a Customer's authorised user to connect the Service to a third-party AI assistant, currently Claude (Anthropic) and ChatGPT (OpenAI), so that the assistant can answer questions using data from the Service. Use of the connector requires an active subscription on a plan that includes TOP Connect, an active user seat, and the corresponding access permission.
  2. The connector is read-only. It does not submit bids, create or amend records, make payments, or take any other action on the Customer's behalf. Nothing an assistant returns through the connector constitutes a submission to, or communication with, any contracting authority or procurement portal.
  3. Each authorised user connects with their own credentials and receives only what that user's permissions and the Customer's subscription allow. The Customer is responsible for deciding which of its users may connect, and for revoking access when a user leaves or no longer requires it.
  4. Using the connector transmits requested data to the third-party assistant provider selected by the user. That provider is independent of the Provider and processes the data under its own terms and privacy policy, which the user accepts directly with that provider. The Provider does not control, and is not responsible for, how the assistant presents, summarises, stores, or further processes the data it receives, nor for the availability of that provider's service.
  5. Outputs delivered through an assistant are subject to sections 2, 3, and 7 in the same way as Outputs delivered in the Service. Data returned by the analytics functions originates from published public procurement sources, is provided for information only, and does not constitute legal, procurement, accounting, or commercial advice. The mandatory human review in section 3 applies without modification, and conversational phrasing of an Output does not reduce that obligation.
  6. The Provider may suspend, rate-limit, or withdraw connector access, in whole or for an individual user, where it detects misuse, automated scraping, security risk, or usage that threatens service integrity, and may change or discontinue support for any individual assistant platform. Connector availability is not warranted separately from the Service.

7. Limitation of Outputs and Liability

The Customer acknowledges that:

  1. not all tender requirements may be identified,
  2. absence of a finding does not confirm absence of a requirement,
  3. presence of evidence does not confirm legal sufficiency,
  4. tender portals and public sources may change or contain errors.

To the maximum extent permitted by law, the Provider shall not be liable for procurement losses, rejected applications, regulatory fines, reputational damage, business interruption, or indirect or consequential damages. Total liability is limited to subscription fees paid by the Customer during the preceding 12 months.

8. Suspension, IP, Confidentiality, and Law

  • The Provider may suspend access if security risk, misuse, payment failure, or legal risk is detected.
  • All software, workflow logic, models, design, and platform infrastructure remain the property of the Provider or its licensors.
  • Both parties shall treat non-public information as confidential.
  • These terms are governed by the laws of the Republic of Croatia.
